These terms apply to your use of ActiveRepricer, a repricing service operated by Cherry Group, Inc. ("Cherry Group", "we", "us"). By using ActiveRepricer for your business, you agree to them. If you have a separate signed agreement with us, that agreement takes priority where the two differ.
The service
ActiveRepricer reads your marketplace listings and competing offers and changes your prices according to the rules and price limits you set. It acts only on the seller accounts you connect, using the access you grant through Amazon, Walmart or your own API credentials.
Your responsibilities
- Your rules and prices. You choose the pricing rules, the minimum and maximum prices, and which products are repriced. You're responsible for the prices that result, and for keeping your costs and limits current.
- Your accounts. You must be authorized to connect each seller account, keep your ActiveRepricer sign-in details secure, and tell us promptly about any unauthorized use.
- Marketplace rules. You remain responsible for complying with the policies of the marketplaces you sell on.
Acceptable use
Don't use ActiveRepricer to break the law or a marketplace's policies, to interfere with the service or other customers, or to try to access data that isn't yours.
Availability
We work to keep ActiveRepricer running and accurate, but it depends on the marketplaces' systems, which can be delayed or unavailable. The service is provided as available, and we don't guarantee that every price change will be made at a particular time.
Fees, cancellation and refunds
Fees are set out in your order or agreement with us. You can stop using the service at any time by disconnecting your marketplaces and asking us to close your account.
Liability
To the extent the law allows, Cherry Group isn't liable for indirect or consequential losses, or for lost sales or profits, arising from the use of ActiveRepricer, including losses that result from your pricing rules or price limits or from marketplace outages. Our total liability is limited to the fees you paid us for the service in the twelve months before the claim.
Your data
Your data remains yours. How we handle it is described in the ActiveRepricer privacy policy.
Changes and ending the service
We may update these terms, and we'll tell account holders by email before a material change takes effect. Either of us may end the service; when it ends, we'll delete your data as described in the privacy policy.
Governing law
These terms are governed by the laws of the State of Ohio, United States.
